1. Scope and Order of Precedence
These Terms of Sale (the “Sale Terms”) govern every order you place through wearephases.com (the “Site”), operated by KIT Products, Co., a Delaware corporation doing business as PHASES (“PHASES,” “we,” “us”). By placing an order you agree to these Sale Terms and to our Terms of Service, Privacy Policy, and Refund and Cancellation Policy, each incorporated by reference. If these Sale Terms conflict with the Terms of Service on a matter concerning an order, purchase, payment, or shipment, these Sale Terms control.
2. Ordering and Acceptance
Your order is an offer to purchase. We accept your order when we send an order confirmation, except that orders for prescription products remain conditional as described in Section 3. We may refuse or cancel any order, including for suspected fraud or resale, pricing or description errors, or unavailability of the Services in your state, and we will refund all amounts paid on any order we cancel. Products are for your personal use only and may not be resold, distributed, or transferred. We may impose quantity limits.
3. Prescription Products
Prescription medications, including compounded medications, may be purchased only after an independent licensed healthcare provider (a “Provider”) issues a valid prescription following a medical consultation, as described in the Terms of Service. Placing an order and paying at checkout does not guarantee that a prescription will be issued. If the Provider determines treatment is not clinically appropriate, your order is cancelled and refunded as provided in the Refund and Cancellation Policy. All prescription medications are dispensed by independent licensed pharmacies. PHASES does not dispense medications and does not sell prescription products without a prescription.
4. Pricing and Taxes
Prices are as displayed at checkout and may change prospectively at any time. Price changes do not affect orders already accepted. Displayed prices exclude applicable taxes unless otherwise stated, and any applicable sales or use tax is calculated at checkout. If we discover a material pricing or description error affecting your order before fulfillment, we will contact you and give you the choice of confirming the order at the correct price or cancelling for a full refund.
5. Payment
We accept the payment methods displayed at checkout. Payments are processed by third-party payment processors, and by submitting payment information you authorize us and our processors to charge the full order amount, including taxes and shipping, to your payment method. You represent that you are authorized to use the payment method you provide. The Services are cash pay and we do not bill insurance.
6. Subscriptions and Automatic Renewal
If you enroll in a subscription, you authorize us to charge your payment method on a recurring basis at the price and interval disclosed at enrollment until you cancel. Before you enroll, we will disclose the recurring price (including any post-promotional price), the billing frequency, the fact that the subscription renews automatically until cancelled, and how to cancel, and we will obtain your affirmative consent to those terms separately from your consent to these Sale Terms. We will send a confirmation with cancellation instructions after enrollment, renewal reminders where required by law, and clear advance notice of any price increase. Where applicable law requires, we will obtain your affirmative consent to the increased price before charging it, or allow you to cancel for at least 14 days after the first charge at the increased price and refund the prorated amount of that charge.
You may cancel at any time through your account settings or by emailing support@wearephases.com, and online cancellation will be at least as easy as enrollment. Cancellation is effective immediately as to all future billing cycles. If your next order has already been transmitted to the pharmacy for fulfillment when you cancel, which can occur up to 48 hours before the billing date shown in your account, that order will be completed and is governed by Sections 4 and 5 of the Refund and Cancellation Policy. Timing, cut-offs, and refunds for amounts already charged are governed by the Refund and Cancellation Policy.
7. Shipping, Delivery, and Risk of Loss
We ship only to addresses in states where the Services are available. You are responsible for providing an accurate delivery address and for being available to receive temperature-sensitive medications, which are shipped with cold-chain packaging and may require signature on delivery. Delivery dates are estimates and are not guaranteed. Title and risk of loss pass to you on delivery to the address you provided, except that orders lost in transit, arriving damaged, or spoiled due to cold-chain failure are replaced or refunded as provided in Section 5 of the Refund and Cancellation Policy. Do not redirect, forward, or hold temperature-sensitive shipments in transit.
8. Returns, Refunds, and Cancellations
All returns, refunds, and order or subscription cancellations are governed by the Refund and Cancellation Policy. Prescription medications, including compounded medications prepared specifically for you, cannot be returned once compounded or shipped, because state pharmacy law prohibits the reuse of dispensed medications.
9. Product Use, Storage, and Safety
Use medications only as prescribed and directed on the label and accompanying materials. Follow the storage instructions provided with your medication, including refrigeration where indicated, and keep all medications out of reach of children. If you experience an adverse reaction, contact your Provider, and in an emergency call 911. You can also report adverse events to us at support@wearephases.com so we can meet our reporting obligations.
10. Promotional Codes and Credits
Promotional codes are limited to one per order unless otherwise stated, have no cash value, cannot be combined unless stated, and may be modified or withdrawn at any time before use. Account credits have no cash value, are not transferable, and do not expire.
11. Billing Disputes and Chargebacks
If you believe a charge is incorrect, contact us at support@wearephases.com before initiating a chargeback and we will investigate promptly. Refunds we approve are processed as described in the Refund and Cancellation Policy.
12. Disclaimers, Liability, and Disputes
Sections 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 12 (Dispute Resolution; Arbitration; Class Waiver), and 13 (Governing Law; Miscellaneous) of the Terms of Service apply to these Sale Terms and to every purchase as if set out in full here.
